Terms of service

Written to be read. Last updated: October 15, 2026.

The service

Nightclose, Inc. ("Nightclose") provides a hosted application that matches bank, card, and payout activity against accounting records you connect, and drafts journal entries for review. During public beta the service is provided free of charge; paid plans are governed by the pricing page in effect when you subscribe.

Your side of the deal

  • Keep your connections valid and your notifications monitored. Nightclose proposes; you approve.
  • You own your account and are responsible for activity under it, including drafts you approve and post.
  • Don't resell raw access to the Nightclose service without a written agreement.

Our side of the deal

  • We operate the service with reasonable care and security practices, and we tell you about material incidents.
  • We use read-only or draft-create permissions with your providers unless you enable auto-post.
  • If we discontinue a feature you're paying for, we refund the unused period.

Not accounting, tax, or audit advice

Nightclose is software, not a person: its matches, drafts, and explanations are decision support, not accounting, tax, or audit advice, and using it doesn't make us your accountant. You (or your accountant) remain responsible for how entries are finally booked; your accounting records and your providers' statements remain the system of record. If a draft you approved was wrong, fix it in your books — we'll own our part of the match.

Accuracy & liability

Matching results derive from data your feeds provide, and feeds can lag, restate, or drop lines. Nightclose is a decision-support tool, not a billing system of record. We're liable for the service under these terms, and the total liability cap is the fees you paid in the 12 months before the claim (or $50 during free beta).

Changes, termination, misc.

We may update these terms with 30 days' notice for material changes. Either party may terminate at any time; on your termination we delete data as described in the privacy policy. These terms are governed by the law of the state in which Nightclose, Inc. is incorporated; for anything unresolved here, ask us first — [email protected] — and we'll try to fix it before anyone's lawyer does.
